Prosus has received European Commission approval for its acquisition of Just Eat Takeaway.com, the final regulatory clearance needed to complete the deal.
The decision allows it to move ahead with plans to expand in food delivery, consumer platforms and artificial intelligence.
Prosus aims to scale AI solutions across Just Eat Takeaway’s European operations.
As part of the clearance, Prosus will cut its stake in Delivery Hero to below 10% within 12 months and will not appoint individuals linked to Naspers or Prosus to Delivery Hero’s management or supervisory boards.
The offer period for the deal ends on 1 October 2025. If all conditions are met by then, Prosus said it would declare the offer unconditional within three business days.
